1. Acceptance of Terms

By accessing or using deniseelysa.com, the Client Portal, the EmbodiedSoul Community App, or any services, content, programs, workshops, sessions, or communications provided by Denise Elysa (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree with these Terms, you must not use the website or services.

2. Nature of Services – No Medical Advice

All services, content, and information provided through this website and related platforms are offered for educational, personal growth, spiritual, and general wellness purposes only.

They are not medical, psychological, psychiatric, or healthcare services.

Nothing on this website or within our offerings is intended to:

  • Diagnose, treat, cure, or prevent any medical or mental health condition
  • Replace professional medical, psychological, psychiatric, or therapeutic advice
  • Create a practitioner–patient, therapist–client, or healthcare relationship

You are responsible for consulting with a qualified healthcare professional regarding any medical or mental health concerns.

3. No Practitioner–Client Relationship

Your use of the website, Client Portal, Community App, or participation in any offerings does not establish a professional, medical, therapeutic, or clinical relationship.

All services are provided in a non-clinical, non-medical, and non-therapeutic capacity.

4. User Responsibilities and Assumption of Risk

You acknowledge and agree that:

  • Participation in somatic, energetic, spiritual, meditation, embodied practices, or any other service or offering through Denise Elysa involves personal responsibility
  • You are responsible for ensuring you are physically, emotionally, and mentally able to participate
  • You will not participate under the influence of drugs or alcohol
  • For virtual sessions, you will ensure you have a safe, private, and appropriate space where you will not be interrupted

You voluntarily assume all risks associated with participation, including but not limited to physical discomfort, emotional responses, or injury.

5. Guest Speakers and Third-Party Contributors

Denise Elysa may host, interview, collaborate with, or feature guest speakers, facilitators, or third-party contributors through the website, podcast, community spaces, events, or social media platforms.

The views, opinions, statements, and content expressed by guest speakers are their own and do not necessarily reflect the views, beliefs, opinions, or positions of Denise Elysa.

We do not endorse, guarantee, or assume responsibility for the accuracy, completeness, or outcomes of any information, advice, or perspectives shared by guest speakers. Participation in or consumption of guest content is at your own discretion and risk.

6. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any injury, loss, illness, damage, or harm arising from your use of the website or participation in services
  • All services are used at your own risk
  • We make no guarantees regarding outcomes, healing, or results

In no event shall Denise Elysa be liable for indirect, incidental, consequential, or punitive damages.

7. Indemnification

You agree to indemnify and hold harmless Denise Elysa from any claims, losses, damages, liabilities, costs, or expenses (including legal fees) arising from:

  • Your use or misuse of the website or services
  • Your participation in programs or sessions
  • Your violation of these Terms

8. Group Sessions

a) Recording Consent

I understand that group sessions may be recorded. By registering for and participating in group events, I acknowledge and consent to the recording of my image, voice, name, and/or contributions where applicable.

I understand that recordings may be made available through Denise Elysa’s website, client portal, community platforms, podcast or social media channels for educational, informational, or promotional purposes. I acknowledge that consent cannot be withdrawn retroactively for content that has already been lawfully recorded or published.

b) For Your Group Session

Please join from a private, quiet, and comfortable space where you will not be interrupted. You may wish to have a pen and paper, water, or a cup of tea on hand. Ensure you are warm and have any blankets, socks, or pillows to support your comfort.

c) Session Integrity

The session reflects not only the time spent during the group session, but also the practitioner’s preparation, coordination, and resources required to hold the group safely and effectively. Your presence, punctuality, and respectful participation support the integrity of the group process for all participants.

d) Privacy and Confidentiality in Group Spaces

Please ensure your physical space is set up so that no one else can see or hear your screen. Where this is not possible, the use of headphones is required, and you must position your screen to prevent others from viewing it. These measures help maintain privacy, confidentiality, and safety for all participants. If later discussing your experience with others, refrain from disclosing names or other identifiable information about other participants.

e) Third-Party Collaborations

Certain group sessions may be offered in collaboration with a third-party community (such as the [Ryan Rose Root Cause Community]). In these instances, only the recording (which may contain your Zoom name, video, voice, or likeness) may be made available through the collaborator's community platforms as well. By registering for these sessions, you accept responsibility for reviewing any collaborator's terms and conditions regarding the usage of these recordings. 9. Payments, Cancellations, and Refunds

a) Payments

All fees must be paid in full prior to participation unless otherwise stated and are non-transferable.

b) Cancellations

  • Appointments and 1:1 sessions require a minimum of 72 hours’ notice for cancellation, rescheduling and completion of the intake form
  • Late cancellations or no-shows may be charged the full session fee
  • Each appointment time is reserved exclusively for you. Late cancellations or rescheduling create gaps in the practitioner’s schedule that could otherwise be offered to another client. The number of clients accepted in any given period is intentionally limited to ensure the practitioner’s capacity to engage in this deep and intimate work in a safe and effective way. By honoring this structure, we uphold the integrity of the scheduling model and the energy devoted to your process.

Note for packages:

Please note that package rates are not calculated on a per-session basis. They reflect not only the time spent in session but also the practitioner’s and any supporting staff’s time and resources devoted to — but not limited to — preparation, communication, research, resource development, and administration outside of sessions.

This business intentionally keeps the number of active clients small so that the practitioner can dedicate time and energy to getting to know each client as an individual, and to tailor the work to their unique needs. For this reason, it is important that this package be used within a reasonable timeframe after purchase. Packages expire 12 months from the date of purchase if not used in full.

c) Late Arrivals

If you arrive late to your scheduled session, the session will proceed for the remaining time and will still end at the originally scheduled conclusion. Late arrivals do not qualify for extensions, rescheduling, or refunds. This policy ensures fairness and respects the practitioner’s time and the structure required to hold this work safely and effectively.

Note: Late arrivals to group sessions may not be permitted based on the type and sensitivity of the session.

d) Technology and Connectivity (Virtual Sessions)

For virtual sessions, clients are responsible for ensuring access to a stable internet connection and properly functioning audio and video equipment. Clients must set themselves up in a way in which they are visible on video. We are not responsible for delays, interruptions, or inability to proceed with a session due to technical issues on the client’s end. If technical difficulties occur on the practitioner’s end that materially prevent the session from proceeding, reasonable efforts will be made to reschedule the session at no additional cost.

e) Scope of Support

Sessions are offered for educational, personal growth, and general wellness purposes and are not intended to provide crisis intervention, emergency services, or medical or mental health treatment. If you are experiencing a mental health crisis, thoughts of self-harm or harm to others, or require immediate support, you are responsible for seeking appropriate emergency, medical, or mental health services. Participation in sessions does not replace, nor should act as, professional care or emergency support services.

f) Practitioner Illness or Unforeseen Circumstances

If the practitioner is unable to conduct the scheduled session due to illness or unforeseen circumstances, the session will be rescheduled or a reasonable alternative will be offered. If rescheduling or an alternative is not possible, a refund for that session will be provided.

If, at any point, the practitioner no longer feels comfortable, safe, or appropriately equipped to continue offering sessions to a client, the practitioner reserves the right to terminate the professional relationship.

g) Refunds

Unless explicitly stated otherwise:

  • All sales are final
  • No refunds are provided for services, programs, workshops, or digital content

10. Community Conduct

You agree to:

  • Engage respectfully within the Community App, workshops, and group spaces
  • Refrain from harassment, hate speech, discrimination, or harmful behavior
  • Respect confidentiality and shared experiences of others

We reserve the right to remove or restrict access to any user who violates these standards, without refund.

11. Intellectual Property

All content on this website and related platforms, including text, images, audio, video, logos, branding, and course materials, is the intellectual property of Denise Elysa unless otherwise stated.

You may not:

  • Copy, reproduce, distribute, sell, or modify content
  • Use content for commercial purposes without written permission

12. Privacy

Your use of the website and services is also governed by our Privacy Policy, which explains how personal information is collected, used, and protected. This policy is available on our website listed below.

13. Data Security and Breach Disclaimer

While we take reasonable administrative, technical, and physical measures to protect personal information and digital systems, no method of electronic storage or transmission over the Internet is completely secure.

You acknowledge and agree that we are not responsible for any loss, unauthorized access, disclosure, alteration, or destruction of data resulting from circumstances beyond our reasonable control, including but not limited to hacking, system failures, cyber-attacks, or third-party service provider breaches.

To the fullest extent permitted by law, we disclaim liability for any damages or losses arising from a data breach, service interruption, or loss of information, except where such liability cannot be excluded under applicable law.

14. Modifications to Services or Terms

We reserve the right to:

  • Modify or discontinue services at any time
  • Update these Terms periodically

Updated Terms will be posted on this page. Continued use of the website or services constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable therein.

You agree to submit to the exclusive jurisdiction of the courts of British Columbia.

16. Severability
